1. Nature of Platform & Broadcast Model

Indie Loop Channel (indieloopchannel.com) operates strictly as a cloud-hosted hosting and linear broadcast platform for independent filmmakers, animators, and digital artists. The platform provides a synchronized video delivery pipeline where content airs on a fixed rotation, playing simultaneously to all connected subscribers in real time.

Indie Loop Channel does not produce, edit, or control the creative assets uploaded by independent artists. We act solely as a passive conduit for the distribution and display of digital media provided directly by verified creators.

2. Creator Content Submission & Broadcast Agreement

By uploading video content, metadata, or digital media assets to indieloopchannel.com, all creators and artists agree to the following binding terms:

Representation of Ownership: I am aware of any potential restrictions to my ability to publish this content, and have confirmed that I:

  1. Am owner of this content, with full rights to publish on any platform I choose;

OR

  1. Have obtained specific permission to publish this content on this platform, and can provide copies of such permission at any time.

Platform Role & Ownership Retention: I understand that indieloopchannel.com will place content I've uploaded on a live streaming rotation. That indieloopchannel.com acts solely as a platform to broadcast to viewers and that indieloopchannel.com makes no claim to any content I upload, neither ownership, nor royalties.

Indemnification & Hold Harmless: I hereby agree to hold harmless Indie Loop Channel, indieloopchannel.com, and ownership from any and all realized or potential infringement upon copyright, rights to royalties, and digital media claims. And, by uploading content to indieloopchannel.com, any and all claims of realized or potential infringement upon copyright, rights to royalties, and digital media claims rest solely on me.

3. Discretionary Broadcast & Platform Rights

Submission of content to Indie Loop Channel does not constitute a contract for guaranteed distribution or broadcast performance.

Mandatory Broadcast Terms:

  • Artists never engage in any standing agreements with indieloopchannel.com that guarantee any access or any responsibility on indieloopchannel.com's part to actually play any content uploaded by any artist at any time.
  • indieloopchannel.com reserves the absolute right to reject any uploaded content, pause, revert, or disable any artist account or content at any time, for any reason, with or without prior notice.

4. Artist Profit Share Architecture & Financial Waterfall

Indie Loop Channel distributes net platform revenue to active creators through a transparent, pro-rata watch-time model calculated at monthly closeout.

A. Financial Waterfall Sequence

Gross subscriber revenue ingested through payment gateways is subject to sequential deductions during monthly settlement. From the gross revenue ingested (monthly subscription income), direct operating costs are deducted, which encompass cloud infrastructure, storage, gateway, and financial transaction fees. Following this, the founder target compensation is evaluated on a KPI variable tier scale and deducted. From the remaining net balance, a 5% allocation is set aside for the platform reserve, and an additional 5% is allocated to the creator bonus pool. The remaining funds after these deductions constitute the Net Distributable Artist Pool.

B. Scaling Factor Threshold

To ensure financial stability, a platform scaling factor is applied to the Net Artist Pool based on aggregate platform watch hours of paid subscribers per calendar month. The minimum scaling threshold is set to 100 hours (360,000 seconds). If total paid subscriber watch time is below this threshold, the distributable pool is scaled proportionally to current platform traction.

C. Pro-Rata Distribution

Each artist's content watch seconds are aggregated across their account, then divided by the total paid subscriber watch time in seconds. This gives the artist's distributable multiplier. This multiplier is applied to the distributable pool to determine the payout for each artist.

* Individual payouts are calculated using fixed decimal precision and rounded down to the nearest cent ($0.01).

5. Digital Millennium Copyright Act (DMCA) & Takedown Policy

Indie Loop Channel respects the intellectual property rights of creators worldwide. Just as with public video platforms, content is submitted by third-party creators. In accordance with the DMCA (17 U.S.C. § 512), Indie Loop Channel will expeditiously remove or disable access to content upon receiving a valid, verified copyright infringement notification.

Filing a Takedown Notice

If you are a copyright owner or authorized agent and believe content broadcasting on indieloopchannel.com infringes upon your rights, please submit a formal notification to our designated agent containing:

  • A physical or electronic signature of the authorized copyright holder.
  • Identification of the copyrighted work claimed to have been infringed, or the specific Show ID or Title.
  • Specific identification of the material to be removed from our live rotation.
  • Your contact details, including a valid email address and phone number.
  • A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law.
  • A statement under penalty of perjury that the information in the notification is accurate.

6. Subscriber & Viewer Compliance

Viewers accessing indieloopchannel.com agree to the following conditions of service:

  • Legal Age & Regional Compliance: It is the sole responsibility of the viewer to ensure that accessing, subscribing to, and viewing content broadcast on this platform is legal within their specific country, state, or jurisdiction.
  • Mature Content Warning (TV-MA): Broadcasts on Indie Loop Channel are unrated or rated TV-MA and intended strictly for mature audiences. Viewers acknowledge this warning prior to entering the live stream shell.
  • Chat Interactions: Live chat terminal interactions are unrated and user-generated. Indie Loop Channel reserves the right to rate-limit, pause, or permanently ban accounts exhibiting abusive or automated behavior.
  • No Recording or Ripping: Subscription access provides a temporary, non-transferable license to view synchronized streams in real time. Scraping, capturing, or re-transmitting stream manifests or segment chunks is strictly prohibited.

7. Limitation of Liability

Indie Loop Channel, its operators, software engineers, and founders shall not be held liable for any indirect, incidental, special, consequential, or punitive damages resulting from your access to or use of (or inability to access or use) the platform, live broadcasts, or third-party creator submissions.
